The VIE Supplier Contracts Attorney is part of the Global Business Services (GBS) Legal team, providing expert legal support to the Supply Chain and Contracts functions. This role is responsible for managing the full lifecycle of supplier contracts, from drafting and negotiation through post-execution management, ensuring compliance with company policies and facilitating business objectives across a diverse portfolio of agreements.
Key Responsibilities:
• Supplier Contract Drafting, Review, and Negotiation:
• Participate in and support pre- and post-award contract management reviews, including purchase agreements, amendments, extensions, contract closure, and dispute resolution, follow up on remedial work plans, and support audit requirements.
• Draft, review, and negotiate a wide range of supplier contract documents, including confidentiality agreements (CDA/NDA), sourcing template, Purchase Orders, non-complex and complex purchase agreement. Assess supplier contract risks and review proposed supplier templates as applicable.
• Maintain and administer contract-related records in relevant databases, ensuring data capture, timely creation, updating, and publishing of contract in system. Demonstrate proficiency in all Legal Department systems and tools.
• Legal Advisory:
Provide legal advice and contract clause interpretation support to Supply Chain and other stakeholders, ensuring contractual arrangements meet both business and legal requirements. Liaise with internal subject matter experts (SMEs) to ensure adherence to company policies and procedures.
• Training and Development:
Participate in Legal Department training initiatives, complete assigned training, and stay current with legal best practices and company systems.
Profil recherché
• Law degree; admission to practice law in relevant jurisdiction.
• Significant experience in drafting and reviewing contracts, from both legal compliance perspective and commercial perspective, preferably in a supply chain or procurement environment.
• Strong knowledge of contract law, risk assessment, and dispute resolution.
• High sense of responsibility.
• Excellent communication, negotiation, and stakeholder management skills.
• Proficient in both English and Russian, with the ability to review and negotiate contracts in both English and Russian.
• Proficiency with office Microsoft tools, and legal research tools.
